Your use of the Sierra Consulting Group, LLC ("Sierra") virtual data doom, software, services, and web sites (referred to collectively as the "VDR" in this document and excluding any services provided to you by Sierra under a separate written agreement) is subject to the terms of this agreement (the "Terms").
In order to use the VDR, you must first agree to the Terms. You may not use the Services if you do not accept the Terms. You can accept the Terms by: clicking to accept and agree to the Terms, below. In this case, you understand and agree that Sierra will treat your use of the VDR as acceptance of the Terms from that point onwards. Before you continue, you should print off or save a copy of the Terms for your records.
Sierra is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the VDR which Sierra provides may change from time to time without prior notice to you.
You acknowledge and agree that while Sierra may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the VDR or on the amount of storage space used for the provision of any Service, such fixed upper limits may be set by Sierra at any time, at Sierra's discretion.
You agree that you will not engage in any activity that interferes with or disrupts the VDR (or the servers and networks which are connected to the VDR). You agree that you will not reproduce, duplicate, copy, sell, trade or resell the VDR for any purpose. You may not (and you may not permit anyone else to) copy, modify, create a derivative work of, reverse engineer, decompile or otherwise attempt to extract the source code of the VDR or any part thereof. You will not post any materials that are illegal, offensive, or contain viruses. Sierra may review all content posted on your VDR to ensure that you comply with the Terms.
You agree and understand that you are responsible for maintaining the confidentiality of passwords associated with any account you use to access the VDR. Accordingly, you agree that you will be solely responsible for all activities that occur under your account.
You agree that you are solely responsible for (and that Sierra has no responsibility to you or to any third party for) any Content that you create, transmit or display while using the VDR and for the consequences of your actions (including any loss or damage which Sierra may suffer) by doing so. You retain copyright and any other rights you already hold in content which you submit, post or display on or through, the Services.
If you want to terminate your use of the VDR, you may do so by (a) notifying Sierra in writing at any time and (b) closing your accounts for all of the VDR which you use, where Sierra has made this option available to you. You will continue to be responsible for agreed upon fees until you terminate your use of the VDR.
Our intent is to provide a secure and trouble free Web site. However, we can't guarantee its operation or the absolute confidentiality of information or data entered through it. Therefore, the VDR is provided by Sierra on an "As-Is" and "As-Available" basis. Sierra makes no warranties of any kind, express or implied, as to the operation of this website. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, or theft, destruction, or unauthorized access to your data. You expressly agree that your use of the VDR is at your sole risk.
You agree that if you request that the VDR have its own domain name, Sierra will purchase the domain name and this domain name will remain the property of Sierra in order for Sierra to be the site's administrator. You represent that you have the authority to use any trade names or trademarks that are a part of the domain name.
You agree to allow Sierra to bill the credit card number that you provide to Sierra every month in accordance with the agreed upon fee structure. In addition, you agree to keep the credit card valid and will notify Sierra if the credit card is no longer valid or expires and will give Sierra a new valid credit number and / or expiration date.
Sierra may at any time, terminate its agreement with you if:
- (A) you have breached any provision of the Terms (or have acted in manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or
- (B) Sierra is required to do so by law (for example, where the provision of the VDR to you is, or becomes, unlawful); or
- (C) the provision of the VDR to you by Sierra is, in Sierra's opinion, no longer commercially viable.
I authorize Sierra Consulting Group, LLC to bill the following credit card an initial fee of $2,000.00 plus the normal monthly fee of $1 per document per active user. I agree to pay the above amount per the card issuer agreement.
Sierra Consulting Group will e mail you an monthly invoice for all charges.
